Convoscale Terms and Conditions

These Terms and Conditions (Terms) govern your access to and use of the Convoscale platform, website, applications, hosted pages, widgets, integrations, and related services (collectively, the Service). Convoscale is a DBA of ScaleTechies LLC (Convoscale, ScaleTechies LLC, we, us, or our).

By accessing or using the Service, creating an account, clicking to accept these Terms, or otherwise using Convoscale, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" and "your" will refer to both you and that entity.

1. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Service.

You may not use the Service if you are barred from doing so under applicable law or if your use would violate these Terms.

2. The Service

Convoscale provides software and related services that may include AI-powered chat, lead capture, automation, scraping, ingestion, hosted chat experiences, embedded widgets, integrations, workspaces, agent configurations, playbooks, messaging-related functionality, pages, reporting, and related tools.

The Service may include free features, paid features, premium features, beta features, preview features, experimental features, and integrations with third-party services. Features, functionality, limits, availability, and eligibility may vary by plan, workspace, geography, technical environment, or other factors.

3. Definitions

For purposes of these Terms:

  • "Account" means your Convoscale user account.
  • "Workspace" means an environment, team, tenant, or account structure used to manage users, agents, data, and settings within the Service.
  • "Agent" means a configured assistant, workflow, chat experience, or automated system created, managed, or deployed through the Service.
  • "Customer Data" means data, content, materials, prompts, configurations, playbooks, files, website content, contact data, chat transcripts, outputs, uploads, instructions, and other information submitted to, collected through, generated through, configured in, or otherwise used with the Service by you or on your behalf.
  • "Output" means any content, response, classification, recommendation, automation result, summary, draft, message, or other result generated by or through the Service.
  • "Credits" means usage units, allowances, or other non-cash consumption entitlements that may be used for certain Service actions or features.
  • "Third-Party Services" means services, platforms, tools, APIs, models, channels, payment processors, integrations, or systems provided by parties other than Convoscale.
  • "Beta Features" means beta, preview, early-access, experimental, or pre-release features or functionality.

4. Account Registration and Security

You must provide accurate, current, and complete information when creating and maintaining your Account. You are responsible for keeping your billing information, contact details, credentials, and other account information accurate and up to date.

You are responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your Account or Workspace, except to the extent caused by our own breach of these Terms or applicable law. You must notify us promptly if you become aware of any unauthorized access to your Account, Workspace, or credentials.

Accounts are personal to the registered user unless the applicable plan or Service functionality expressly permits team, workspace, or multi-user access. You may not share Accounts, credentials, or access in a way that circumvents plan limits, seat limits, workspace rules, suspensions, pricing, credits, or other restrictions.

You may not create multiple Accounts, Workspaces, or identities to evade restrictions, exploit promotional offers, abuse free credits, avoid payment, bypass suspensions, or otherwise game the Service.

5. Workspaces and Admin Control

If you create, administer, own, or manage a Workspace, you are responsible for the users you invite, the permissions you grant, the settings you configure, and the actions taken within that Workspace by your authorized users.

Workspace owners and administrators may be able to access, manage, export, delete, disclose, or control data, settings, users, Agents, and content within the Workspace. Convoscale is not responsible for internal administrative decisions, permission changes, user removals, or other Workspace-level actions taken by Workspace owners or administrators.

6. Customer Data and Ownership

As between you and Convoscale, you retain ownership of your Customer Data, subject to any rights of third parties.

You grant Convoscale a worldwide, non-exclusive, royalty-free license to host, store, copy, reproduce, transmit, display, modify, process, analyze, format, adapt, export, and otherwise use Customer Data and Output as necessary to provide, operate, maintain, secure, support, troubleshoot, improve, enforce, and administer the Service, including for analytics, billing, abuse prevention, product functionality, diagnostics, and related operational purposes consistent with these Terms and our applicable privacy commitments.

This license also permits Convoscale to use de-identified, aggregated, anonymized, or otherwise non-personally-identifying data derived from use of the Service for analytics, benchmarking, marketing, business intelligence, product improvement, and similar lawful purposes, provided such use does not identify you, your end users, or a specific individual.

By using the Service, you represent and warrant that you have all rights, permissions, notices, and lawful bases necessary to provide Customer Data to us and to allow it to be processed in connection with the Service.

7. No Training on Customer Data by Default

Unless expressly stated otherwise by us in writing or expressly enabled by you through a product setting, separate agreement, or feature-specific terms, Convoscale does not use Customer Data by default to train general-purpose AI models.

Nothing in this Section limits our ability to use de-identified, aggregated, anonymized, or non-personally-identifying usage data for lawful product, analytics, security, operational, and marketing purposes.

8. Prohibited and Restricted Data

The Service is not intended for the storage, collection, or processing of sensitive or high-risk data unless Convoscale expressly agrees otherwise in writing.

Without limiting the foregoing, you may not use the Service to collect, upload, ingest, store, process, or transmit any of the following through Convoscale unless we expressly permit it in writing:

  • health or medical information;
  • biometric data;
  • government-issued identification numbers;
  • bank account, payment card, or similar financial account data;
  • children's data;
  • highly sensitive personal information;
  • data subject to sector-specific regulation that the Service is not expressly designed to support; or
  • any other category of sensitive data that would reasonably require heightened legal, technical, or contractual controls.

If you nevertheless submit such data in violation of these Terms, you do so entirely at your own risk, and Convoscale may suspend, remove, block, or delete such data or related use of the Service without liability.

9. Your Responsibilities

You are solely responsible for:

  • your use of the Service;
  • your Customer Data;
  • your Agents, prompts, playbooks, instructions, workflows, automations, and configurations;
  • the messages, outputs, decisions, routing, classifications, and actions generated or triggered by your use of the Service;
  • obtaining any rights, permissions, licenses, notices, and consents required for your content, data, scraping targets, uploads, integrations, and communications;
  • ensuring your use of the Service complies with applicable law, these Terms, and any applicable third-party rules.

You must only upload, scrape, ingest, connect, or otherwise use materials and data through the Service if you have the legal right to do so.

10. AI Features and Output Disclaimer

The Service may generate Outputs using AI or automated systems. Outputs may be inaccurate, incomplete, outdated, delayed, misleading, or inappropriate. The Service may produce the same or similar Outputs for different users.

You are solely responsible for reviewing, evaluating, and determining whether any Output is appropriate for your use case before relying on it or using it in communications, automation, business processes, decisions, or downstream systems.

Convoscale does not warrant or guarantee the accuracy, completeness, legality, merchantability, reliability, fitness, or appropriateness of any Output.

The Service is assistive only and is not a substitute for human review, legal advice, financial advice, medical advice, employment advice, credit underwriting, insurance assessment, emergency response, regulatory compliance determinations, or other professional or high-risk judgment.

You may not use the Service for high-risk or regulated decisions or activities where an error, inaccuracy, delay, or failure could reasonably result in material harm, including without limitation legal decisions, medical or health decisions, financial or investment advice, employment decisions, insurance decisions, credit decisions, housing decisions, emergency services, or similar sensitive determinations.

11. Acceptable Use

You may not use the Service, or permit others to use the Service, to:

  • violate any applicable law, regulation, or third-party right;
  • engage in fraud, phishing, deception, impersonation, or misleading communications;
  • send spam or unlawful unsolicited messages;
  • harass, abuse, stalk, threaten, or defame any person;
  • collect, use, disclose, or process data unlawfully or without required rights, notices, or permissions;
  • infringe, misappropriate, or violate any intellectual property, privacy, publicity, confidentiality, or other rights;
  • scrape, access, or ingest content without authorization;
  • create, transmit, or facilitate malware, credential attacks, or other malicious code or harmful activity;
  • interfere with, disrupt, or impair the Service or related systems;
  • reverse engineer, copy, mirror, frame, resell, sublicense, publicly benchmark, or use the Service to build or train a competing product, except to the extent such restriction is prohibited by applicable law;
  • bypass usage limits, rate limits, plan restrictions, feature gates, credit rules, or access controls;
  • create multiple Accounts or Workspaces to evade suspensions, pricing, free-credit rules, or other restrictions;
  • use the Service for unlawful surveillance, rights-violating profiling, or deceptive automated messaging;
  • use the Service for prohibited sensitive data or restricted high-risk use cases;
  • use the Service in a manner that could expose Convoscale, its users, or third parties to legal, reputational, technical, or operational harm.

We may remove content, disable access, suspend features, block channels, or take other protective action if we reasonably believe any use violates these Terms, applicable law, third-party rules, or creates unacceptable risk.

12. Scraping, Uploads, and Ingestion

If the Service allows scraping, crawling, importing, uploading, ingesting, syncing, or connecting content, you are solely responsible for ensuring you have the right to access and use that content in the manner you choose.

Convoscale may refuse, remove, restrict, or disable access to content, sources, or materials that appear unlawful, infringing, unauthorized, risky, or technically harmful.

Convoscale does not verify that you have the rights required for any scraped, uploaded, synced, or ingested content and disclaims responsibility for your decisions regarding such content.

13. Third-Party Services and Integrations

The Service may interoperate with or depend on Third-Party Services, including without limitation model providers, hosting providers, messaging channels, CRM systems, payment processors, calendars, analytics providers, and other integrations.

If you connect Third-Party Services, you authorize Convoscale to access, exchange, receive, transmit, store, format, process, and otherwise handle data with those Third-Party Services as necessary to provide the requested integration or functionality.

You are solely responsible for obtaining and maintaining any third-party accounts, permissions, subscriptions, API access, credentials, approvals, consents, or rights necessary for your integrations and use cases.

Once data is transmitted to or from a Third-Party Service, Convoscale is not responsible for that Third-Party Service's conduct, processing, storage, accuracy, security, availability, terms, or policies.

Convoscale may modify, suspend, disable, or discontinue integrations or related functionality at any time, including where required by legal, regulatory, technical, operational, abuse-prevention, security, or third-party dependency reasons.

14. Credits

Credits are usage entitlements within the Service and are not currency, stored value, banked funds, or personal property. Credits have no cash value, are not redeemable for cash, and are non-transferable unless Convoscale expressly permits otherwise.

Actions that may consume Credits include, without limitation:

  1. messages;
  2. scraping runs; and
  3. Agent playbook edits.

Credit rules may vary by plan, feature, promotion, workspace, or product context.

14.1 Credit Expiration

  • Free credits expire after one (1) month.
  • Paid credits expire after two (2) months.

14.2 Credit Rollover

  • Free credits do not roll over.
  • Paid-plan credits may roll over, subject to expiration rules.
  • You must be on a paid plan to use rolled-over paid credits.

14.3 Credit Refunds

Credits are generally non-refundable, except where Convoscale chooses to refund credits for certain canceled operations. At present, eligible canceled operations may include scraping runs and Agent playbook edits. Convoscale may change, narrow, expand, or discontinue refund eligibility for operations at any time.

14.4 Credit Restrictions

Credits may not be sold, transferred, assigned, shared commercially, pledged, exchanged, or moved between users or Workspaces except where Convoscale expressly allows it.

Convoscale may adjust credit mechanics, pricing, eligibility, refund logic, expiration, rollover, metering, and usage rules prospectively.

15. Plans, Billing, and Subscriptions

Certain parts of the Service may require payment of subscription fees, usage fees, overage fees, add-on fees, taxes, or other charges.

By purchasing a subscription or paid Service, you agree to pay all applicable fees and charges presented at checkout or otherwise agreed in writing.

All purchases, subscriptions, and use of paid features are made in the currency and payment method presented at checkout or otherwise presented by Convoscale.

You must provide accurate billing information and keep it current.

15.1 Auto-Renewal

Subscriptions renew automatically unless canceled before renewal. By purchasing a subscription, you authorize Convoscale and its payment processors to charge the applicable fees on a recurring basis until canceled.

15.2 Non-Refundability of Subscription Fees

Subscription fees are generally non-refundable, except where required by applicable law or where Convoscale expressly agrees otherwise in writing.

If you cancel a subscription, the cancellation will take effect at the end of the then-current billing period, and you will not receive a refund for any unused portion of the billing period.

15.3 Failed Payments

If payment fails, Convoscale may retry charges, suspend access, restrict features, downgrade access, restrict or disable credit use, or terminate the Account or Workspace after notice, a grace period, or immediately where justified by risk, abuse, repeated failure, or applicable law.

15.4 Taxes

You are responsible for all applicable taxes, duties, levies, or governmental charges associated with your use of the Service, excluding taxes based on Convoscale's net income.

15.5 Chargebacks and Fraudulent Payment Disputes

If you initiate a chargeback, payment reversal, or fraudulent payment dispute, Convoscale may immediately suspend or terminate your access, reverse related benefits or credits, pursue collection, and take any other lawful action.

16. Downgrades, Cancellations, and Changes in Access

If you cancel a paid subscription, your access generally remains active through the end of the then-current billing period, after which your Account or Workspace may downgrade to a free plan or other reduced-access state, if available.

Upon downgrade, cancellation, plan expiration, failed payment, or loss of paid status, premium-only features may become unavailable. This may include, without limitation, advanced exports, broader export ranges, historical access ranges, advanced integrations, higher limits, premium settings, or other paid capabilities.

Some restrictions may apply immediately, while others may apply at the end of the billing period, depending on the type of plan change, feature, or access right involved.

Credits expire according to the applicable expiration rules regardless of cancellation or downgrade unless Convoscale expressly states otherwise.

17. Data Retention, Deletion, and Backups

Convoscale may store and retain Customer Data as part of providing the Service, but does not guarantee uninterrupted availability, permanent storage, or recovery of any Customer Data, chats, files, Outputs, configurations, or other content.

You are responsible for maintaining any backups you require for your own business, legal, or operational purposes.

Convoscale may delete, disable access to, or stop retaining Customer Data in accordance with these Terms, plan limits, operational requirements, legal obligations, security needs, technical constraints, and retention practices.

Unless otherwise required by law, needed for security, dispute handling, fraud prevention, legal process, backup systems, or legitimate operational purposes, Convoscale expects post-termination deletion of Customer Data to occur within approximately sixty (60) days after termination, cancellation, or prolonged inactivity. Backup copies and residual data may persist for a limited period beyond that.

Convoscale does not commit to indefinite retention of Customer Data after cancellation, downgrade, or termination.

18. Monitoring, Access, Preservation, and Disclosure

Convoscale may monitor, review, access, preserve, and disclose Accounts, Workspaces, logs, chats, Customer Data, Outputs, files, integrations, and related content as reasonably necessary to:

  • provide and operate the Service;
  • provide support;
  • troubleshoot issues;
  • investigate abuse, fraud, security incidents, or suspected violations;
  • protect the rights, property, or safety of Convoscale, users, end users, or third parties;
  • comply with law, legal process, or governmental requests; or
  • enforce these Terms.

19. Intellectual Property Rights in the Service

The Service, including its software, interfaces, architecture, design, branding, visual elements, documentation, and related intellectual property, is owned by or licensed to Convoscale and is protected by applicable law.

Except for the limited rights expressly granted to you under these Terms, Convoscale reserves all rights, title, and interest in and to the Service.

You may not copy, modify, distribute, sell, lease, sublicense, frame, mirror, publicly benchmark, reverse engineer, or create derivative works from the Service except as expressly allowed by these Terms or required by non-waivable law.

20. Publicity, Customer Name, Logo, Testimonials, and Showcasing

If you are a business customer, you grant Convoscale permission to use your business name, brand name, and logo to identify you as a customer of the Service in Convoscale's website, sales materials, pitch materials, customer lists, and similar marketing and promotional materials, unless you opt out in writing.

Convoscale may also use publicly available reviews, public social posts, public statements, public mentions, and public testimonials about the Service for marketing and promotional purposes, including by reposting, quoting, embedding, displaying, screenshotting, or referencing them, provided Convoscale does not materially misrepresent or misleadingly edit them. If the original poster requests removal, Convoscale may remove the use in its discretion.

You grant Convoscale permission to display, render, host, present, and showcase your Agents, widgets, generated pages, hosted experiences, embedded experiences, screenshots, and related Service-generated materials as reasonably necessary to operate, demonstrate, preview, support, or showcase the Service, subject to any separate confidentiality obligations or plan-specific limitations that may apply.

21. Feedback

If you provide Convoscale with suggestions, ideas, enhancement requests, bug reports, feedback, or other comments regarding the Service (Feedback), you grant Convoscale a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable, sublicensable right to use, reproduce, modify, distribute, commercialize, and otherwise exploit that Feedback for any lawful purpose without restriction, compensation, attribution, or obligation to you.

22. Beta Features

Convoscale may offer Beta Features from time to time. Beta Features may have separate eligibility rules, reduced support, different limits, incomplete functionality, additional bugs, instability, or reduced availability.

Beta Features may be changed, limited, suspended, or discontinued at any time without liability.

Unless expressly stated otherwise, Beta Features are provided as-is, with fewer guarantees than general availability features.

23. Suspension and Termination

Convoscale may suspend, restrict, or terminate your access to all or any part of the Service at any time, with or without notice, if we reasonably believe:

  • you have violated these Terms;
  • your use creates legal, technical, reputational, or operational risk;
  • payment has failed or is disputed;
  • fraud, abuse, spam, deception, or unlawful activity is suspected;
  • your use threatens the security, integrity, or availability of the Service;
  • a Third-Party Service, regulator, legal process, or applicable law requires us to act;
  • you are using prohibited sensitive data or restricted use cases; or
  • suspension or termination is otherwise necessary to protect the Service, users, third parties, or Convoscale.

You may stop using the Service at any time. You may request or initiate Account deletion, subject to outstanding fees, disputes, fraud review, legal holds, backup retention, technical constraints, and legitimate operational needs.

Sections of these Terms that by their nature should survive suspension or termination will survive, including without limitation provisions relating to fees, ownership, licenses, publicity, restrictions, disclaimers, liability limitations, indemnification, dispute terms, and retained rights.

24. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

Convoscale disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, or that the Service will be uninterrupted, error-free, or meet your expectations.

Convoscale does not warrant that the Service, Outputs, integrations, messaging channels, scraping features, or Third-Party Services will be available, compatible, lawful for your particular use case, accurate, complete, timely, secure, or free from bugs, failures, or interruptions.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Convoscale, ScaleTechies LLC, and their affiliates, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, use, or anticipated savings, arising out of or related to the Service, these Terms, or your use of or inability to use the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Convoscale will not be liable for any damages, losses, or claims arising from or related to:

  • (a) any output, response, recommendation, classification, automation, or other result generated by or through the Service;
  • (b) your reliance on any output or action taken or not taken based on the Service;
  • (c) any unauthorized access to, alteration of, loss of, or deletion of data;
  • (d) any interruption, delay, unavailability, error, or degradation of the Service;
  • (e) any acts, omissions, outages, failures, delays, inaccuracies, or changes by third-party providers, including hosting providers, model providers, messaging channels, integration partners, payment processors, and other third-party services;
  • (f) any content, data, materials, instructions, configurations, or communications provided by you or by users, leads, customers, or other third parties;
  • (g) any suspension or termination of your access in accordance with these Terms; or
  • (h) any event beyond Convoscale's reasonable control.

To the maximum extent permitted by applicable law, Convoscale provides the Service on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, and disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, or that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by applicable law, Convoscale's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts paid by you to Convoscale for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid Convoscale any amounts for use of the Service, Convoscale will have no liability to you to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.

26. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Convoscale, ScaleTechies LLC, and their affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any third-party claims, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • (a) your use of the Service;
  • (b) your content, data, materials, prompts, configurations, playbooks, outputs, communications, or other information submitted to, generated through, or used with the Service;
  • (c) your scraping, uploading, ingestion, storage, use, disclosure, or other processing of data or materials through the Service;
  • (d) your violation of these Terms or applicable law;
  • (e) your infringement, misappropriation, or violation of any intellectual property, privacy, publicity, confidentiality, consumer-protection, or other rights of any person or entity; or
  • (f) your use of third-party channels, integrations, or services in connection with the Service, including any violation of their applicable terms, rules, or policies.

Convoscale reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Convoscale in the defense of such matter.

27. Changes to the Service and Terms

Convoscale may modify, update, replace, suspend, restrict, or discontinue the Service, features, integrations, limits, plans, credit mechanics, interfaces, or functionality at any time.

Convoscale may also update these Terms from time to time. Updated Terms will become effective when posted or on the effective date stated in the updated Terms. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

Material changes to pricing or paid-plan terms may be made prospectively. Convoscale may, but is not obligated to, provide prior notice of such changes except to the extent required by applicable law.

Convoscale may make immediate changes where needed for security, abuse prevention, operational reasons, legal compliance, technical dependencies, or Third-Party Service changes.

28. Assignment

You may not assign, transfer, delegate, or otherwise move your rights or obligations under these Terms without Convoscale's prior written consent.

Convoscale may assign, transfer, delegate, or otherwise move these Terms or any rights or obligations under them in connection with a merger, acquisition, restructuring, sale of assets, financing, affiliate reorganization, or similar corporate transaction.

29. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be governed by the laws of the State of Colorado, without regard to its conflict of law principles.

You agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction and venue of those courts, subject to any non-waivable rights you may have under applicable law.

30. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Convoscale's failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

These Terms, together with any applicable order forms, plan terms, feature-specific terms, or policies expressly incorporated by reference, constitute the entire agreement between you and Convoscale regarding the Service, except where superseded by a separate written agreement signed by Convoscale.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Convoscale.
